The Company
History
Embotelladora Andina S.A. is one of the largest Coca-Cola bottlers in Latin America. It is mainly dedicated
to the production and distribution of Coca-Cola products in Chile, Brazil and Argentina. In Chile, the
Company owns the franchise to produce and market Coca-Cola products through Embotelladora Andina;
in Brazil through Rio de Janeiro Refrescos; and in Argentina through Embotelladora del Atlántico.

In 1946 Embotelladora Andina S.A. is established
with the license to produce and distribute
Coca-Cola products in Chile. Transition from
the individual bottle towards the 24-bottle case
(now known as “unit case” and which continues
to be the volume measurement). Coca-Cola
distribution coverage is extended from the
traditional sales point (mom & pops) to a wide
range of channels.

The San Joaquín Plant is inaugurated in Santiago. The Company acquires a 45% ownership interest of Embotelladora Concepción S.A.

In 1974 the Company acquires an additional 45.6%
in Embotelladora Concepción S.A. In 1975 the
Company acquires a 34.3% ownership interest
in Embotelladora Talca S.A. and a 25% ownership
interest in Cervecería Austral S.A.I.C. In 1976 Frutos
de Almahue Ltda. is acquired, an agroindustrial
company dedicated to the processing of
fruits and supplier of the pulp needed to
produce nectars and fruit juices. The company
acquires a 24.4% ownership interest of
Financiera Condell S.A. In 1977 the Company
increases ownership interest in Cervecería
Austral S.A.I.C. to 40%. In 1978 Termas Mineral de Chanqueahue and the brand
Agua Mineral Vital are purchased. Cervecera
del Pacífico Ltda. is incorporated, in which
Embotelladora Andina holds a 50% equity
interest. The Company increases to 80.2%
its ownership interest in Embotelladora Talca S.A.
Journalism Award is established with the
spirit to recognize the journalist who stands
out for the ethical and professional quality of the information. In 1979 the Company
increases its ownership interest in Frutos de Almahue Ltda. to 82.3%. Operations begin at the Chanqueahue Vital production facility in Rengo. Operations begin at the production facility of Embotelladora Concepción S.A. in Temuco.

Launch of the PET
non-returnable 2 lt. bottle.
In 1981 the plastishield format is introduced in
Chile, the most modern non-returnable format
in the World. Launch of diet soft drinks, TAB
and Sprite Light. In 1982 Embotelladora
Andina S.A. sells its ownership interest in
Embotelladora Talca S.A. and Embotelladora
Concepción S.A. to Sociedad de Inversiones
Williamson S.A. Transportes Emandisa Ltda. is
established for the purpose of delivering third
party freight service, where the Company has
a 90% ownership interest. In 1983, Embotelladora Andina S.A. and the Chilean
agency of The Coca-Cola Export Corporation,
create Industrial Sud Andina S.A. (ISASA) each
one holding a 49.5% ownership interest. This
Company would later be dedicated to producing
fruit pulps, Kapo juices, Andina Frut juices
and Vital Mineral Water. In 1984 launch of Diet
Coca-Cola. The Company sells its ownership
interest in Transportes Emandisa Ltda. to
Frutos de Almahue Ltda. The recently formed
ISASA begins operations. In 1985 Inversiones
Freire Ltda. acquires control over Embotelladora
Andina S.A. In 1986 sale of the bottling facility
in Viña del Mar and ownership interest of
Financiera Condell S.A. Switch from wooden to
plastic case for the one liter format.

In 1991 Envases Multipack S.A. in the packaging
business begins operations. In 1992 Vital S.A.
is born and dedicated to the business of juices
and mineral waters in Chile. Embotelladora
Andina S.A. acquires a minority ownership in INTI S.A.I.C., a Coca-Cola product bottling company in Córdoba, Argentina. In 1994 entrance to the Brazilian market begins with the acquisition of Rio de Janeiro Refrescos Ltda., a bottling company located in the city of Rio de Janeiro, with a bottling facility in Jacarepaguá. 7,076,700 American Depositary Receipts (ADRs
) are placed on the NYSE
,collecting
US$127.4 million. In 1995 Envases Central S.A.begins operations. Greater presence in the
Argentine market with the acquisition of
Embotelladora del Atlántico S.A., controller of
the Coca-Cola products bottling facilities for the
franchises of Rosario and Mendoza. In 1996,
a 49% ownership interest of Vital S.A. is sold
to The Coca-Cola Company along with the
brands: Kapo, Néctar Andina, Andifrut, Andina
and Agua Mineral Vital. The agro-industrial
business (ISASA) is sold. Expansion into
Argentina continues, acquiring an additional
35.9% ownership interest in Embotelladora
del Atlántico S.A. (EDASA), an additional 78.7%
in INTI (today merged with EDASA), 100%
of Complejo Industrial PET S.A. in Buenos
Aires (dedicated to the packaging business),
and a 15.2% of Cican S.A., a Coca-Cola product
canning facility. The Coca-Cola Company
enters into Andina’s ownership with an 11%
stake. In 1997 Series A & B shares are created.
An additional 5% stake in Embotelladora del
Atlántico S.A. is acquired. Issuance of US$350
million in Yankee Bonds in tranches of 10,
30, and 100 years. In 1998, Embotelladora
Andina S.A. repurchases the 49% stake that
The Coca-Cola Company held in Vital S.A. In 1999 the newly built Montecristo production
facility in Córdoba, Argentina is inaugurated.

Acquisition of the Brazilian Coca-Cola bottler for Niteroi, Vitoria and Governador Valadares. In 2001 Joint Venture between Multipack and Crowpla creating the new company Envases CMF S.A. for the packaging business. Embotelladora Andina issues UF
7,000,000
in bonds (7 and 25 years). Tender Offer for
the partial repurchase of bonds issued in the
US market. In 2002, EDASA concentrates all
productive operations, at the Montecristo
production facility in Córdoba and shuts down
the Mendoza and Rosario plants. In 2003, EDASA
takes control over Complejo Industrial PET S.A.,
and places soft drinks and packaging operations
under a single management. Embotelladora
Andina S.A. is awarded with the “Carlos Vial
Espantoso” award, which distinguishes the most
relevant Chilean company in terms of labor
relations and with more dedication to human
capital. In 2004 franchise swap between Rio
de Janeiro Refrescos Ltda., and a subsidiary of The
Coca-Cola Company in the State of Minas Gerais
for the franchise of Nova Iguaçu located in the
State of Rio de Janeiro. Since all of the franchise territories become contiguous, synergies and greater distribution efficiencies are generated. Series B shares of Embotelladora Andina S.A. become eligible as investment instruments for the Chilean Pension Funds (Series A shares have always been eligible investment instruments). In 2005 Vital S.A. is divided into two companies, creating Vital Aguas S.A. Hence, Vital S.A. exclusively develops the juice and other Non Carbonated beverage business and Vital Aguas S.A., along with the other Coca-Cola bottlers in Chile (Embonor and Polar), develops the Water business. In 2006 Embotelladora Andina S.A. obtains the 2005 National Award for Quality and Competitiveness, distinction given by the Presidency of the Republic. Andina is the first company in the mass consumption sector to obtain this award. In 2007 Embotelladora Andina S.A. inaugurates two major Distribution Centers in Santiago (Maipú and Puente Alto), which will enable a more efficient distribution of our products in our Chilean franchise.
Additionally, The Coca-Cola Company along with the Coca-Cola bottlers in Brazil create a Joint Venture, Mais Indústria de Alimentos S.A., in order to enhance the non-carbonated business for the entire System in that country.
